The "Xiaomi MiMo Service Agreement" (hereinafter referred to as "this Agreement") is an agreement between you (or "User", referring to individuals or organizations who download, register, log in, use Xiaomi MiMo Services) and Xiaomi Technology Netherlands B.V., Xiaomi Technologies Singapore Pte. Ltd., and/or their affiliated companies (hereinafter referred to as "Xiaomi") regarding the products, software, programs, and services (hereinafter referred to as "This Service") provided by Xiaomi MiMo.
Xiaomi hereby reminds users to carefully read and fully understand all provisions of this agreement, especially those exempting or limiting liability, applicable law, and dispute resolution clauses. These clauses will be highlighted in bold. By agreeing to this Agreement and completing all registration procedures, it means you have fully read, understood, and accepted all its contents and have reached an agreement with Xiaomi to become a Xiaomi MiMo user. During the process of reading this agreement, if you do not agree to this agreement or any of its terms, please do not register, log in, or use the Xiaomi MiMo service.
1. Scope of the Agreement
1.1 Xiaomi MiMo is the desktop application of Xiaomi MiMo, provided by Xiaomi Technology Netherlands B.V., Xiaomi Technologies Singapore Pte. Ltd., and/or their affiliated companies (hereinafter collectively referred to as "Xiaomi" or "we"), based on generative artificial intelligence model technology. This agreement applies to your use of Xiaomi MiMo services outside the territory of the People's Republic of China. If you use this service within the territory of the People's Republic of China, you acknowledge and agree that both parties will apply the relevant terms of service published on Xiaomi MiMo applicable to services within the People's Republic of China. Under this agreement, the operating entity of Xiaomi MiMo may change due to adjustments in platform business. The changed operating entity will jointly perform this agreement with you and provide you with services. Changes in the operating entity will not affect your rights under this agreement.
1.2 Xiaomi Privacy Policy, Xiaomi Account Usage Agreement are an integral part of this agreement and have the same legal effect as this agreement. Given the rapid development of internet business, the terms of this agreement cannot fully cover all your rights and obligations with Xiaomi, nor can it guarantee full compliance with development needs. Xiaomi MiMo's legal statements, privacy policy, platform regulations, rules, notices, announcements, operating rules, help documents, and reminders are supplementary to this agreement, inseparable from this agreement, and have the same legal effect. By using the services of this platform, you are deemed to have agreed to the above supplementary agreement.
1.3 Minors are not allowed to use this service. You must be at least 18 years old or reach the legal age of majority in your jurisdiction (whichever is higher) to use the service.
2. Xiaomi Account Application and Usage
2.1 If you use Xiaomi MiMo services, you still need to register a Xiaomi account. Your application and use of your Xiaomi account must comply with the Xiaomi Account Service Agreement and the regulations updated and published by Xiaomi from time to time.
2.2 Before you begin the registration process and use of this service, you must possess the capacity as stipulated by the applicable laws. The operations conducted under your account represent your own actions; If you need to use the services on behalf of an entity on Xiaomi MiMo, you must provide the relevant identification and authorization materials as required by Xiaomi. Additionally, you must ensure that you are not subject to trade restrictions, sanctions, or other legal or regulatory restrictions imposed by any country, international organization, or region; otherwise, you may not be able to register and use the Xiaomi MiMo service.
2.3 Without our written consent, it is prohibited to give, borrow, rent, transfer, sell, or otherwise license others to use it in any form. We especially remind you to keep your account and password safe. Please keep your API key safe to prevent any form of leakage. Do not share or publicly disclose your API key with others, and do not expose it in your browser or other client code. Any unauthorized use or other security issues caused by API key sharing or leakage will be your own responsibility.
3. Service Terms
3.1 You may obtain this software and services directly from the Xiaomi MiMo website or from Xiaomi-authorized third parties. If you do not install and obtain this service through the above methods, we cannot guarantee that the service will be used. Xiaomi grants you a non-transferable, non-sublicense, and non-exclusive license to use this software and services in accordance with this agreement. You may use this software and services on one or more devices for non-commercial purposes; any rights not expressly authorized in this agreement remain reserved by Xiaomi.
3.2 To accommodate different devices and systems, Xiaomi MiMo may have multiple versions. Please install the appropriate version according to your actual situation. You are also free to uninstall and update this software and services.
3.3 To continuously optimize the user experience and improve service content, Xiaomi will periodically provide updates to this software and services (including but not limited to software replacements, feature improvements, version upgrades, etc.), and may also adjust or restrict certain features. After the update, the old version may no longer be available, or you may no longer receive customer service and maintenance services. It is recommended that you keep up with the latest version information and update to the latest version.
3.4 Xiaomi MiMo acts solely as a neutral technical service provider, offering you various technical products and services as agreed. When using this service, you must comply with the relevant provisions of this agreement, not violate laws and regulations, and do not use this service to infringe upon others' legitimate rights and interests or seek improper benefits.
3.5 You may use this service in accordance with this agreement in compliance with laws and this agreement, but you may not engage in the following behaviors:
3.5.1 Delete all copyright information from this service and other copies, as well as modify, delete, or avoid technical measures set up by this service to protect intellectual property rights.
3.5.2 Reverse engineering the Operation of this Service or the models, algorithms, or data involved in its operation, such as disassembly, decompilation, or other attempts to obtain the source code of the Service.
3.5.3 By modifying or forging running instructions or data, adding, deleting, changing functions or operational effects, or operating or publicly disseminating software or methods used for the above purposes, regardless of whether these actions are for commercial purposes.
3.5.4 Using this service to engage in any acts that endanger network security, including but not limited to: using unauthorized data or accessing unauthorized servers or accounts; Accessing public networks or others' operating systems without permission and deleting, modifying, or adding stored information; Attempting to probe, scan, or test weaknesses in the software's system or network or committing other acts that undermine network security without permission; Attempting to interfere with or damage the normal operation of this service system or website, intentionally spreading malicious programs or viruses, or other acts that disrupt normal network information services; Forging TCP/IP packet names or part of their names.
3.5.5 Using this service to publish, transmit, disseminate, or store content that violates local laws and regulations.
3.5.6 Using this service to publish, transmit, disseminate, or store content that infringes upon others' intellectual property rights, trade secrets, or other lawful rights.
3.5.7 Use this service to publish, transmit, and disseminate advertising and spam information in bulk.
3.5.8 Access to this service and related systems through plugins, or any third-party tools/services not authorized by Xiaomi.
3.5.9 Using or creating, publishing, or distributing the above tools through any third-party software, plugins, or systems not developed or authorized by Xiaomi.
3.5.10 Interfere with or forge the Service itself, authorizing others, or using third-party software to interfere with or forge its components, modules, data, etc.;
3.5.11 Other acts that affect or interfere with the normal operation of this service or infringe upon Xiaomi's legitimate rights and interests in any illegal manner, for any illegal purpose, or in any way inconsistent with the license of this agreement.
3.6 You shall ensure that the content developed, produced, utilized, uploaded, commented on, published, disseminated, stored, and shared through this service complies with relevant laws, has obtained legal authorization from the relevant rights holders, and is responsible for its legality, accuracy, completeness, and reliability. You may not use the official website or services to create the information prohibited by laws or administrative regulations.
If your actions violate or may breach the above agreements, we have the right to handle infringement and illegal information based on relevant evidence in combination with the applicable laws and regulations. We also have the right to refuse to provide relevant services or restrict your use of certain functions after being prompted. If your violation of the above agreements causes Xiaomi to suffer losses, or you are subject to claims from third parties, or penalties imposed by administrative authorities, you shall compensate Xiaomi for any losses and/or expenses incurred, including reasonable attorney fees and investigation and evidence collection costs.
3.7 As this service involves generative artificial intelligence technology and deep synthesis technology, Xiaomi hereby reminds you to comply with relevant laws, regulations, and regulatory requirements.
3.8 To avoid public confusion or misunderstanding, when you use this service to publish or disseminate AI-generated synthetic content, you must add explicit and implicit identifiers as required by relevant laws and regulations, and must not maliciously delete, alter, forge, or conceal the identifiers of generated and synthesized content.
3.9 Due to technological development limitations and the possibility that this software and services may be affected by external risks such as prompt injections or poisoning attacks, Xiaomi does not guarantee that the operation of this service will not be interrupted or error-free, nor that it will correct any defects in this service, nor that it will meet all user requirements. Xiaomi bears no responsibility for any resulting consequences.
3.10 Content Disclaimer. Artificial intelligence and machine learning are rapidly developing research fields. Xiaomi is also constantly working to improve this service to make it more accurate, reliable, safe and trustworthy. However, due to technical characteristics, Xiaomi cannot fully guarantee the legitimacy, authenticity, accuracy and completeness of the output obtained by users through this product under the premise of making reasonable efforts. The content generated by this product does not represent the product/service itself or the views of Xiaomi. You should make independent judgments based on your own actual situation, especially regarding professional issues (such as medical, financial, legal, etc.) and operations that may have significant impact or irreversible consequences, such as batch file deletion, modification of key system configurations, or conducting fund transactions. You bear full responsibility for review and decision-making. For large model generated content that may be inaccurate or offensive, Xiaomi will not be responsible for any damage caused by the user's dependence on this platform.
3.11 This service is affected by differences in factors including but not limited to user reasons, network service quality, and social environment, and may be affected by various security issues. You should strengthen your awareness of information security and data protection, and pay attention to password protection to avoid losses. Xiaomi will make every reasonable commercial effort to ensure the security of your data storage in this software and services. When you use services under this agreement, you should back up the data and information stored in the relevant software and/or related to the service and/or services yourself. Xiaomi is not responsible for the deletion or storage failure of data in the relevant software during your use of this service.
3.11.1 This product does not assume other responsibilities than those expressly provided by law, therefore, we do not guarantee the following situations:
(1) This product is not guaranteed to meet commercial purposes, specific purposes or fully meet the requirements of users, and any warranties arising from any transaction or trade use;
(2) Due to possible computer viruses, network communication failures, system maintenance and other factors and possible force majeure events or accidents, this product does not guarantee that the service will not be interrupted, accurate or error-free, nor does it guarantee that any content is safe or not lost or changed;
(3) This product does not guarantee the ability to correct all defects of this service at the current state of the art.
3.11.2 We shall not be liable for tort liability or legal disputes between users and third parties when:
(1) Users harm others or have disputes with others in the process of using the product;
(2) The user infringes the intellectual property rights of others in the process of using the product. If Xiaomi is required to bear the liability for compensation, then Xiaomi has the right to recover from the user.
3.12 Xiaomi specifically reminds users that, in order to ensure the company's autonomy in business development and adjustments, Xiaomi reserves the right to modify or interrupt services at any time without prior notice. Xiaomi is not liable to users or any third party for exercising such rights.
3.13 Except as explicitly provided by laws and regulations, Xiaomi will make every effort to ensure the security, effectiveness, accuracy, and reliability of the software and related technologies and information. However, due to limitations of existing technology, users understand that Xiaomi cannot guarantee this.
4. Third-Party Content and Services
4.1 Xiaomi MiMo Desktop Edition serves only as a channel for interaction between you and large language models, tools, and skills, designed to provide you with technical support such as model calls and tool calls. All output content is generated by the large model you select based on your input; If operations involve your local device files, systems, or installed software, they will be completed through your local terminal or tools based on your input, confirmation, authorization, or configuration.
Any actions you take to access or operate local devices and third-party software, as well as your installation and use of various tools and skills, are deemed to be actions you perform independently, and you are solely responsible for your use of this service and all consequences arising from it. Please be sure to operate with caution and properly protect your personal information and property security.
4.2 When you use this service or request Xiaomi to provide specific services, the service may call third-party systems, software, or services (including custom third-party models you use, downloading and installing open-source communities or third-party skills, called MCP interfaces, Repo, etc.). In addition to complying with the relevant rules of this agreement, you must also comply with the third-party service agreements and usage rules. You shall bear any costs incurred from using third-party systems, software, or services. You must understand and agree that when using third-party services, third parties may read user data. Special reminder: You should carefully select third-party systems, software, or services and use them after thorough evaluation. Xiaomi does not guarantee the security, accuracy, validity, or other uncertain risks of results achieved through system, software, or service support. Any disputes or damages arising from this shall be borne by you alone, and Xiaomi assumes no responsibility. If laws, regulations, or national authorities make relevant provisions, or if we have reasonable grounds to believe that the third-party system, software, or service you use poses a risk of illegality or non-compliance, we have the right to unilaterally suspend, restrict, or prohibit access to or use of such third-party systems, software, or services.
4.3 When you use the online search function, we may retrieve, display, or cite publicly published information from third parties based on your input, and analyze, integrate, and summarize based on such search results, combined with large language model technology, to generate output content. Xiaomi MiMo cannot guarantee its authenticity or accuracy, nor does it represent our views or positions. You should make your own judgment based on the actual situation.
5. Data Protection Terms
Xiaomi will collect, use, and process your personal information in accordance with the Xiaomi MiMo Privacy Policy. According to applicable law, you have the right to inquire, correct, delete, and cancel your service or account regarding your personal information. For specific procedures, please refer to the Privacy Policy.
6. Intellectual Property
6.1 The intellectual property rights owned by both parties prior to using this service shall remain with them and will not be transferred due to the performance of this agreement. For clarity, the ownership and intellectual property of the Xiaomi MiMo model belong to Xiaomi, including but not limited to model parameters, algorithms, code, and framework structure.
6.2 When using Xiaomi MiMo-related services, without prior written consent from the relevant rights holders, you may not upload, publish, modify, disseminate, or copy any copyrighted materials, trademarks, proprietary information belonging to others, or other content that may infringe upon the legitimate rights and interests of third parties in any way. If you believe that information on Xiaomi MiMo infringes on your intellectual property or other legal rights, please provide feedback using the contact information published in this agreement.
6.3 Without prior written consent from Xiaomi, you may not, individually and/or in combination of other means, display or use any trademarks, service marks, trade names, domain names, website names, or any other distinctive brand features ("Logos") owned by Xiaomi or its affiliated companies.
7. Liability for Breach of Contract
7.1 In response to your violations of this Agreement or other service terms, Xiaomi has the right to independently decide and take measures such as warnings, deadlines for correction, account function restrictions, suspension of use, account closure, prohibition of re-registration, and deletion of related content. Xiaomi has the right to keep relevant records of suspected violations of laws and regulations or criminal activities, and to report to the relevant authorities and cooperate with their investigations in accordance with the law. You shall bear any legal liabilities or claims or losses claimed by third parties arising from this and compensate Xiaomi for any losses incurred (including litigation fees, arbitration fees, attorney fees, notarization fees, announcement fees, appraisal fees, travel expenses, investigation and evidence collection fees, compensation, liquidated damages, settlement fees, administrative penalties, etc.)
7.2 Unless otherwise agreed, neither party shall be liable for incidental, incidental, punitive, special, or indirect loss or damage, including but not limited to loss of profit or goodwill, regardless of how such loss or damage arose, on what basis of the theory of liability, and whether it exists in a lawsuit based on breach, tort, compensation, or any other grounds, even if the possibility of such loss is known.
7.3 You understand and agree that the following situations may cause service interruptions during the use of this service. We will promptly cooperate with relevant departments to actively resolve the issue. However, we will exempt you from liability for any losses caused as a result:
(1) Force majeure events, including but not limited to natural disasters, government actions, promulgation or adjustment of laws, strikes (except for internal labor disputes on either side), unrest, and other unforeseeable, unavoidable, and insurmountable objective circumstances;
(2) Causes of basic operators, including but not limited to technical adjustments by telecommunications departments, damage to telecom/power lines by others, installation, modification, or maintenance of telecom networks/power resources by telecom/power operators;
(3) Network security incidents, such as damage caused by computer viruses, trojans, or other malicious programs, or hacker attacks;
(4) You use the service in ways other than those stipulated in these terms or the applicable agreements for related services;
(5) Improper operation or failure of your computer software, system, hardware, communication lines, or other third-party resources;
(6) Other circumstances not attributable to our fault, or beyond our control or reasonable foresight.
8. Notification
8.1 When you register as a Xiaomi MiMo user and accept Xiaomi MiMo services, you should provide Xiaomi with real and valid contact information (including your email address, phone number, contact address, etc.). If your contact information changes, you are obligated to update the relevant information promptly and maintain a contactable status. The pop-up notifications pushed by Xiaomi to your browsing interface also serve as valid notifications sent to you. Xiaomi will send you various notifications to one or more of the above contact methods, including but not limited to service adjustments. The content of such notices may have a significant positive or adverse impact on your rights and obligations, so please pay close attention. You should ensure that the contact information provided is accurate, valid, and updated in real time. If the contact information provided is inaccurate or the updated contact information is not promptly disclosed, resulting in the notice not being delivered or not delivered on time, you shall bear any legal consequences that may arise.
9. Applicable Legal Jurisdiction and Others
9.1 This agreement shall be governed by laws of Singapore (excluding conflict of law principles). Any disputes arising from your use of the Xiaomi MiMo service or related to the Xiaomi MiMo service will be resolved through negotiation between Xiaomi and you. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause.
9.2 If certain provisions of the Agreement are deemed unapplicable, the remaining provisions of this Agreement shall continue to apply, and any unapplicable provisions shall be modified to ensure they are applicable in accordance with the law.
9.3 Any other rights not explicitly authorized by Xiaomi remain retained, and you must obtain Xiaomi's written permission to exercise these rights. If Xiaomi fails to exercise any of the above rights, it does not constitute a waiver of those rights.
9.4 To provide you with better services, Xiaomi reserves the right to amend this Agreement, and the amendments form part of this Agreement. The updated agreement will be announced on the official website or service pages. Please check the latest version of the agreement terms on the official website. If you do not accept the revised agreement, please stop using this service immediately. Your continued use of the Service will be deemed as acceptance of the revised Agreement.
9.5 If you discover any illegal or non-compliant behavior or breach of this agreement, or if you have any comments or suggestions regarding the service, you may file complaints and feedback through the following methods:
